Terms of Service

Last updated October 1, 2026

These Terms of Service (“Terms”) are a binding agreement between you and Surf Platforms Inc., a Delaware corporation based in San Jose, California (“Surf,” “we,” or “us”), for RTL++, including its website, browser editor, simulator, assistant, and related services (the “Service”). By creating an account, accessing the Service, or purchasing a plan, you agree to these Terms and acknowledge our Privacy Policy. If you act for an organization, you represent that you may bind it; “you” then includes that organization.

Please read the arbitration and class action waiver sections. They affect how disputes are resolved. You may opt out of arbitration within 30 days as described below.

1. Eligibility and accounts

You must be at least 13, or older if the law where you live requires it, to use the Service. If you are under the age of majority, a parent or guardian must review these terms with you. Give accurate account information, keep your sign-in credentials secure, and tell us promptly about unauthorized use. You are responsible for activity under your account except to the extent caused by our failure to protect it.

2. License and ownership

While you comply with these Terms, Surf grants you a limited, nonexclusive, nontransferable, revocable license to access and use the Service for lawful purposes permitted by your plan. Free is for personal, educational, and nonproduction evaluation use; Student is for educational use by eligible school-email users; Standard and Max permit commercial use. Contact us for a separate organizational agreement if needed. This license also covers a browser-installed version of the Service. Surf and its licensors retain all rights in the Service, software, models, documentation, names, and marks, including “RTL++.” You retain rights in your own designs and exports, subject to third-party rights, but a plan restriction still applies to your use of the Service. No ownership or source-code rights in the Service pass to you. Open-source components remain subject to their own licenses.

3. Your content and sharing

You retain ownership of the projects, files, prompts, conversations, and comments you provide (“Your Content”). You give Surf a worldwide, nonexclusive license to host, copy, process, transmit, and display Your Content only as needed to provide, maintain, secure, and support the Service and the features you request. That includes making content available to people you authorize and sending assistant requests to our AI provider. This license ends when Your Content is deleted, subject to lawful retention and backup cycles described in the Privacy Policy. We do not claim ownership of your designs or use your designs or chats to train our own AI models.

You represent that you have the rights and permissions needed to submit Your Content and to grant this license. People you invite or give a share link to may access a design and its comments according to the permissions you set. You are responsible for managing those permissions, checking content before sharing it, and obtaining any permissions needed for personal information or third-party material you include. Other users may keep copies of content they received while authorized.

4. Feedback and intellectual property concerns

If you send suggestions about the Service, Surf may use them without payment or obligation to you; do not send ideas you expect us to keep confidential. To report content that you believe infringes your rights, email contact@surfplatforms.com with enough detail to identify the material, the right you claim, and how to contact you. We may remove disputed material or restrict repeat infringers where appropriate.

5. Subscriptions and payment

The simulator has a free plan. Student, Standard, and Max are paid subscriptions billed in advance, monthly or yearly, through Stripe. The price, billing interval, and any taxes are shown before you confirm checkout and on our pricing page. Student pricing requires a verified eligible school email. Unless you cancel, your subscription automatically renews for the same interval and Stripe charges your payment method at the then-applicable price.

You can cancel online through Manage billing in Settings. Cancellation stops future renewals; paid access ordinarily continues through the current billing period. Upgrades generally take effect immediately with a prorated charge, while downgrades generally take effect at the end of the paid period, as shown in the billing portal. You can also contact contact@surfplatforms.com for billing help. Except where applicable law requires otherwise or we state otherwise at checkout, paid periods are nonrefundable. If we discontinue a paid plan during a paid period, we will refund the unused portion. We will notify you of price changes before they apply to a renewal as required by law, including how to cancel before the change takes effect.

6. Assistant allowance

Each plan includes a recurring assistant allowance measured in AI credits, which reflect model usage. The current allowance and models for each plan appear on the pricing page. Credits are a usage measure, not money or stored value. They cannot be transferred, redeemed for cash, or carried into a later allowance period. Actual usage per request varies with model, input, output, and tool calls. When your allowance is exhausted, assistant access pauses until it renews or your plan changes. The simulator remains available. We may impose reasonable rate limits and safeguards to protect the Service.

7. Engineering and AI results

RTL++ is a simulation and learning tool, not a certified engineering, safety, or professional review service. Models, component libraries, imported files, numerical solvers, explanations, citations, and AI output can be incomplete, inaccurate, or unsuitable for your application. An AI response may contain third-party material, and similar output may be given to others. You must independently check designs, assumptions, component ratings, tolerances, operating conditions, and results before building, purchasing parts, manufacturing, or deploying anything. Do not rely on the Service alone where failure could cause injury, death, or significant property or environmental damage, including medical, automotive, aerospace, high-voltage, industrial-control, or other safety-critical uses. You are responsible for decisions based on output and for compliance with applicable engineering, product-safety, and professional requirements.

8. Acceptable use

  • Do not use the Service unlawfully, infringe others’ rights, submit malware, or include personal or confidential information you have no right to provide.
  • Do not interfere with the Service or other users, access accounts or data without permission, test security without authorization, or evade security, rate, or usage limits.
  • Do not scrape, resell, or expose the assistant or Service as an unauthorized API, or use automated access that burdens the Service.
  • Do not use output to mislead others about whether a design has been independently checked, certified, or approved.
  • Follow your school’s rules when using the Service for coursework.

9. Third-party services and files

The Service connects to providers for hosting, sign-in, payments, and AI processing, and can import or export third-party file formats. Their services and materials may be governed by separate terms. Surf does not control third-party products, websites, component data, or materials you import. You are responsible for checking their accuracy, licenses, and suitability. We may change providers or integrations when reasonably necessary to operate the Service.

10. Availability, changes, and termination

We may change features or temporarily interrupt the Service for maintenance, security, or operational reasons. We may suspend or terminate access for a material breach, abuse, nonpayment, or legal requirement, with notice where reasonable. You can stop using the Service, cancel renewal, or delete your account in Settings. Export designs you want to keep before deletion: account deletion removes cloud designs and chats and cannot be undone. Your own local or shared copies may remain. Sections that by their nature should continue, including ownership, disclaimers, liability limits, indemnity, and disputes, survive termination. We may update these Terms; we will post the revised date and give notice of material changes before they take effect as required by law. Continued use after the effective date means you accept the revised Terms.

11. Your responsibility for claims

To the extent permitted by law, if you use the Service for a business or other organization, you will defend and indemnify Surf, its officers, employees, and agents against third-party claims and reasonable costs arising from Your Content, your infringement of another person’s rights, or your unlawful or unauthorized use of the Service. This obligation does not apply to the extent a claim results from Surf’s own conduct or breach of these Terms. Surf will give you reasonably prompt notice and allow you to control the defense, subject to our right to participate and to approve any settlement that imposes obligations on us.

12. Disclaimers and liability

To the fullest extent permitted by law, the Service and its outputs are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, uninterrupted operation, or freedom from errors. We do not guarantee that any simulation, model, AI response, export, or component information is correct or safe to use. You should maintain independent backups of important work. To the fullest extent permitted by law, Surf and its suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, business, data, or goodwill, even if advised that such loss was possible. Our aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of US $100 or the amount you paid Surf for RTL++ in the 12 months before the event giving rise to the claim. These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot legally be limited, including where applicable for fraud, willful misconduct, gross negligence, or personal injury caused by our negligence.

13. Informal resolution and arbitration

Before either party starts a formal dispute, that party must email the other a written description of the claim and requested relief and allow 30 days for informal resolution. Send notices to contact@surfplatforms.com; we will write to your account email. If the claim remains unresolved, you and Surf agree to individual, binding arbitration administered by JAMS under its applicable consumer or commercial rules. The Federal Arbitration Act governs this arbitration provision. A single arbitrator will decide the dispute, and a court may enter judgment on the award.

Either party may bring an eligible individual claim in small-claims court or seek court relief to prevent actual or threatened misuse of its intellectual property. A claim for public injunctive relief may proceed in court to the extent the law does not allow its waiver. Claims involving sexual assault or harassment may proceed in court when applicable law gives the claimant that choice. Arbitration may take place by video, telephone, written submissions, in your county of residence, or in Santa Clara County, California, as the applicable rules and law allow. Consumer fees are allocated under the administrator’s consumer rules. If JAMS cannot administer the matter, the parties will use the American Arbitration Association under its applicable rules or ask a court to appoint an arbitrator.

Opt-out: You may opt out of this arbitration agreement within 30 days after first accepting these Terms by emailing contact@surfplatforms.com with your name, account email, and a clear request to opt out of RTL++ arbitration. Opting out does not affect your account or the rest of these Terms. If you opt out, either party may bring a claim in a court that has jurisdiction. This section does not deprive you of nonwaivable rights under applicable consumer law.

14. Class action waiver

To the extent permitted by law, you and Surf will bring claims against each other only in an individual capacity, not as a plaintiff or member of a class, collective, consolidated, or representative action. An arbitrator cannot combine different people’s claims or preside over a class proceeding. This waiver does not bar public injunctive relief where that would be unlawful. If a court finds this waiver unenforceable for a particular claim or remedy, that portion may proceed in court while other arbitrable claims remain in arbitration. This section does not limit rights that applicable law makes nonwaivable.

15. Time to bring claims

To the fullest extent permitted by law, a claim relating to the Service or these Terms must be filed within one year after it arises. If applicable law requires a longer period or does not permit a shorter contractual period, that law controls. This limit does not apply to Surf’s claims for infringement or misuse of its intellectual property.

16. Governing law and courts

California law governs these Terms without regard to conflict-of-laws rules; the Federal Arbitration Act governs the arbitration agreement. Subject to the arbitration section, the state and federal courts in Santa Clara County, California, are the venue for court proceedings, unless applicable consumer law gives you the right to bring a claim elsewhere. Nothing in these Terms limits rights you cannot waive under the law where you live.

17. California consumer notice

The Service is provided by Surf Platforms Inc., San Jose, California, United States. For a complaint about the Service, email contact@surfplatforms.com. California residents may also contact the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or (800) 952-5210.

18. General terms

These Terms, the plan terms shown at checkout, and any separately signed agreement with Surf form the agreement for the Service; a signed agreement controls if it expressly conflicts. If part of these Terms is unenforceable, the rest remains effective. A failure to enforce a term is not a waiver. You may not transfer your account or these Terms without our consent; Surf may transfer them in connection with a merger, sale, or reorganization, subject to applicable law. Neither party is responsible for delay caused by events outside its reasonable control, but this does not excuse payment obligations already due. Notices to you may be sent to your account email or displayed in the Service; you may send legal notices to contact@surfplatforms.com.
